Job Purpose
Provide assistance and support to the Associate Regional General Counsel in business partnering, managing and executing Legal operations relating to finalization of commercial transactional agreements and legal documents, providing legal risk analysis and opinion, undertaking ad-hoc projects/assignments relating to Business and Operations, with minimum supervision and by leveraging the centres of excellence within the Legal Function to ensure and certify legal compliance and smooth functioning of Cipla's business operations
Key Accountabilities (1/6)
End to End Management of Commercial Agreements/Legal Documents such as Confidentiality Agreement, Service Agreements, Letter of Authority/Letter of Undertaking etc. within timelines
- Provide guidance to Team members to ensure end to end management and closure of critical commercial agreements.
- Highlight the critical open points and risk factors to internal stakeholders with minimum guidance from manager.
- Regular interaction with the key internal stakeholders for prioritization and closure of such commercial/operational agreements/legal documentation with the internal stakeholders.
- Close the critical open points in critical commercial agreements and legal documents with the internal stakeholders and external stakeholders.
- Highlight the major deviations or risks to manager and key stakeholders, prepare risk analysis report for the key stakeholders and the manager.
- Prepare the update deck and key learnings with guidance from the manager for future inclusion and risk management
Key Accountabilities (2/6)
Handle drafting and review of deal documents such as out-licensing, in-licensing, supply-distribution arrangement and ensure adherence to specific state/country laws and regulations
- Drafting of deal documents such as agreements for in-licensing, out-licensing (dossiers, trademarks, technology/know-how), supply and distribution, contract manufacturing, clinical trials, and coordinate with internal stakeholders for necessary approvals and comments to ensure that the business practices and procedures being followed are in line with applicable laws & legislation.
- Negotiate the Deal documents with external stakeholders in consultation and discussion with internal stakeholders and manager.
- Highlight the legal and commercial risks associated with deals and their potential impact to key stakeholders with guidance from the manager
- End to end management of closure of deal documents with guidance from the manager.
- Highlight the major deviation or risk to manager and key stakeholders and assist the manager in preparing the risk analysis and way forward for the key stakeholders.
- Regular interaction with the key internal stakeholders for prioritization and closure of such Deal Documents with the internal stakeholders.
- Availability of skill sets for handling complex licensing and commercial transactions, regulatory landscape, IP and Legal issues in the diverse geographies
Key Accountabilities (3/6)
Provide adequate support to the respective Team Lead in day-to-day advisory/opinions to the businesses
- To provide guidance to the junior team members for discussing legal issues and contractual obligations with the internal stakeholders and ensure all relevant documents required for giving the opinion/advisory are available.
- Prepare the draft opinion/advisory after obtaining all the relevant facts and application of applicable laws.
- Finalise the non-critical/operational advisory/opinion in consultation and guidance from the manager.
- Knowledge of pharma industry law, regulations and practices for assigned territories
- To provide guidance for end-to-end management closure of non-critical/operational advisory/opinion to the business.
- Assist the manager in finalisation of critical opinion by preparing initial draft opinion along with the reference to applicable laws and precedents.
- Assist the manager in preparing a learning deck from the opinions to be circulated among the key stakeholders
- Knowledge of pharma industry law, regulations and practices for assigned territories

Manage the dispute resolution across assigned businesses in Europe and Emerging Market and API
- Provide active support [preparing case briefs/documents collation] to the cross functional team and business stakeholders for management of disputes.
- Actively participate in all discussions with the internal and external stakeholders to manage the disputes.
- Ensure the case tracker is updated and regularly brief the manager and take guidance on the next steps.

- Prepare brief/project deck/reports after examination of the documents collated and provided by the internal and external stakeholders.
- Ensure that data relating to contracts management, litigation management and notice management in the respective digital platforms is maintained and updated regularly
- Actively participate in the discussion on key issues among the internal stakeholders and external stakeholders.
- Finalizing the final reports and briefs with guidance from the manager.
- Prepare deck and presentation from reports generated from various digital platforms.

- Regularly interact and work with the team member to develop and mentor them to the assigned role.
- Develop the assigned team member to handle the certain aspects of the role independently or with minimum guidance from the manager.
